  8.    Mr. Gangi is a seasoned business professional with 16 years experience
  9.    in the consumer electronics, computer software and allied industries.
  10.    Mr. Gangi is a highly-skilled business strategist who has held senior
  11.    operations and management as well as marketing and sales positions.
  12.    
  13.    Prior to joining VIScorp, Mr. Gangi was President and Chief Operating
  14.    Officer of Foton, Inc., a software publisher of Document Publishing
  15.    Programs (DTP) and Voice Command computer hardware (Say It Voice
  16.    Command). At Foton, Mr. Gangi was responsible for all areas of
  17.    corporate operations, business development and distribution.

  19.    Previously, Mr. Gangi held a number of senior-management positions. He
  20.    was Vice President and General Manager, Timeworks International
  21.    (Chicago, IL), a computer software developer and publisher of personal
  22.    productivity programs, responsible for all aspects of corporate
  23.    operations, including sales and marketing, human relations and
  24.    inventory. Mr. Gangi served as part of the launch team for Commodore
  25.    Internationals CDTV initiative, the first consumer CD-ROM system
  26.    player, titles and accessories; he was Director, Marketing & Sales,
  27.    CDTV Publishing Division, responsible for world-wide titles sales
  28.    efforts.

  30.    Mr. Gangi was Vice President, Sales & Marketing, ICOM Simulations
  31.    (Wheeling, IL), one of the earliest successful multimedia
  32.    entertainment and productivity publishing startups; the company was
  33.    acquired by Viacom. Earlier, Mr. Gangi served as Director, Sales and
  34.    Distribution, Cinemaware Corp. (Chicago & Los Angeles), an
  35.    entertainment software publisher; Mr. Gangi was responsible for the
  36.    introduction of the first successful CD-ROM title, Defender of the
  37.    Crown.

  39.    Prior to entering the software/multimedia publishing industry, Mr.
  40.    Gangi was a member of the Chicago Board of Trade, an independent
  41.    trader and licensed broker for financial instruments. (For independent

  44.    Mr. Gangi is a graduate of Southern Illinois University, BA, Business
  45.    and Liberal Arts.
